8.3.1. Upon expiry or termination of this Agreement, the Wealth Manager shall comply with the following:
a) not make any form of representation (whether express or implied) that the Wealth Manager remains in public association with Binance; b) not disparage (whether expressly or implicitly) the Binance brand name or any Binance products; c) not exploit its previous connection with Binance.
8.3.2. The following clauses shall survive termination or expiration of this Agreement: Definitions and Interpretation; Audit; Confidential Information; Term and Termination; Indemnity; Limitation of Liability; Miscellaneous and Governing Law and Jurisdiction.
9. INDEMNITY; LIMITATION OF LIABILITY
9.1 Indemnity. Without prejudice to any other rights or remedies which Binance may have under law, the Wealth Manager shall fully indemnify and keep fully indemnified on a continuing basis Binance, any Binance Affiliate involved in the services provided under this Agreement, and their respective directors, officers, employees and agents, to the fullest extent permitted by Applicable Laws from and against all claims, demands, Losses, damages, penalties, expenses and liabilities of any kind which Binance, any Binance Affiliate involved in the services provided under this Agreement, and their respective directors, officers, employees and agents, may suffer or incur in respect of or in connection with (i) any breach by the Wealth Manager, the Authorized Users and/or any of its Clients of any of its obligations under this Agreement, or (ii) any violation by the Wealth Manager, the Authorized Users and/or any of its Clients of any Applicable Laws, regulation or rights of any third party during their use of services provided under this Agreement, or (iii) any intentional or wrongful act, default or omission of the Wealth Manager or any of its officers, employees, and agents.
","wp-align-des1":"“Authorized Users” means the Wealth Manager’s and its Affiliates’ employees, agents, directors, subcontractors, or other representatives who are authorized to access and use and administer the Wealth Manager’s and/or its Affiliates’ use of the services provided through Binance Wealth Program.
“Binance Wealth Master Account" or "Master Account”: means the singular and central account owned by the Wealth Manager and maintained with Binance or its Affiliates through which the Wealth Manager can carry out certain operational activities related to the Binance Wealth Program, such as requesting the creation of Sub Accounts on behalf of its Clients, making deposits on behalf of the Client, recommending or creating orders in respect of trades and subscriptions for Clients, depending on the account setup. The account can be set up in one of two ways: (i) Non-discretionary setup, where the Wealth Manager may recommend trades and subscriptions to Clients via the Master Account, but such transactions must be approved by the Clients via their respective Sub Accounts before being processed; or (ii) Discretionary setup, where the Wealth Manager may create orders in respect of trades and subscriptions on behalf of the Clients via the Master Account. Each order will then be processed and executed on the Platform at the Sub Account level. No further approval from the Client is required before the orders initiated by the Wealth Manager in respect of the Client’s Sub Account are processed and executed on the Platform and binding on the Client. The availability of the discretionary set-up in each jurisdiction, is subject to, amongst other things, the requirements of Applicable Laws.
“Binance Technology” means the Platform, Documentation, and any of Binance’s proprietary technology, including, without limitation, any software, processes, scripts, algorithms, user interfaces, know-how, technologies, designs, and/or other tangible or intangible technical material or information that Binance makes available to the Wealth Manager and its Clients during the course of the Agreement, together with all updates thereto and all Intellectual Property Rights therein.
“Binance Wealth Sub Account" or "Sub Account”: means any segregated account that is created by and exists nested under a Binance Wealth Master Account, owned and managed by each Client or their Wealth Manager (in the case of a discretionary account setup). Through this account, Clients are enabled to make deposits and withdrawals, review, approve and complete trades and subscriptions recommended or ordered by the Wealth Manager (depending on the Binance Wealth Master Account’s setup), and independently initiate trades and subscriptions for its own account via the Sub Account.
“Business Day” means any day, other than a day that falls on a weekend or a public or bank holiday in Singapore.
“Confidential Information” means all proprietary and confidential information of the Parties and those of their Clients, customers, employees or suppliers whether commercial, financial, technical or otherwise (whether oral, in writing, machine readable or in any other form) and material (whether electronically recorded, in writing or otherwise) which by its very nature should be treated as secret and confidential or which, due to the circumstance under which it is disclosed, a reasonable person would infer as confidential and which the Parties desire to protect against unrestricted disclosure or competitive use or which is designated as such, including without limitation:
","wp-align-des2":"(a) any information resulting directly or indirectly from the discussions or negotiations relating to this Agreement and all copies, notes, records and all related information (in any form) generated by the Wealth Manager or Binance based on or arising from any disclosures for this Agreement;
(b) the terms of any agreement reached by the Parties or proposed by either Party (whether agreed or not) in connection with the Agreement;
(c) information relating directly or indirectly to the Wealth Manager’s or Binance’s business, including but not limited to customer or Client databases, details of trade secrets, know-how, strategies, ideas, operations, compliance information, processes, methodologies and practices, business or marketing plans;
(d) information relating directly or indirectly to the Wealth Manager’s or Binance’s plans, intentions, know-how, market opportunities and business affairs or those of its suppliers, customers (including potential customers) and Clients;
(e) works of authorship, products and materials written and prepared by the Wealth Manager or Binance in relation to this Agreement including but not limited to computer programs, business logic solutions, data, diagrams, charts, reports, specifications, sketches, inventions and working papers or similar materials of whatever nature or on whatever media relating thereto.
“Control” means, in respect of a person, the holding, or controlling, in each case, directly or indirectly, of shares or any similar rights of ownership in that person bearing the majority of voting rights attaching to all the shares or other rights of ownership in that person or having the power to direct or cause the direction and management of the policies of that person whether as a result of the ownership of shares, control of the board of directors, contract or any power conferred by the articles of association or other constitutional documents of such person and “Controlling” and “Controlled” shall be construed accordingly.
“Client Due Diligence” shall have the meaning in Clause 6.5.
“Client” means any individual or legal entity that has established a legal relationship with the Wealth Manager for the purpose of receiving or, where applicable, delegating trade, subscription, and investment decisions to the Wealth Manager, and who also owns a Sub Account, after successfully completing Binance’s Know Your Customer ("KYC") or Know Your Business ("KYB") procedures, as applicable.
“Commission” means the fees payable by Binance to the Wealth Manager linked to the trades or subscriptions made by their Clients through the Binance Wealth Program, as described in Clause 4 below;
","wp-align-des22":"14.11. Variation. No variation of this Agreement shall be effective unless it is in writing and signed by the Parties (or their authorised representatives).
14.12. Counterparts. This Agreement may be executed in counterparts, each of which shall be deemed to be an original and all of which together shall be deemed to be one and the same instrument.
14.13. Personal Data. The Parties shall comply with the provisions of the DPA which contains data processing obligations.
14.14. Security. The Wealth Manager shall implement appropriate technical and organisational measures to ensure a level of security appropriate to the risk. In assessing the appropriate level of security, the Wealth Manager shall take into account the risks that are presented by the services. The Wealth Manager shall promptly notify Binance of any security breach, investigation, litigation, arbitrated matter or other dispute relating to the Wealth Manager information security practices. The Wealth Manager is solely and ultimately responsible for ensuring maintenance of appropriate standards to mitigate security risks. The Wealth Manager will indemnify and hold Binance and its Affiliates harmless from and against any and all claims, causes of action, liability, loss, cost and damages or any costs payable arising out of or relating to any third party claim arising from breach by the Wealth Manager of its obligation contained in this Clause to mitigate security risk.
14.15. Independent Contractor. The Parties have the status of independent contractors, and nothing in this Agreement nor the conduct of the Parties will be deemed to place the Parties in any other relationship. Except as provided in this Agreement, neither Party shall be responsible for the acts or omissions of the other Party or the other Party’s personnel.
14.16. Translation. This Agreement may be translated into another language. However, in the event of any inconsistency between the English language version and a translated version, this English version will at all times prevail and take precedence. Any translation must include a provision to the same effect as this Clause.
15. GOVERNING LAW AND JURISDICTION
15.1. This Agreement shall be governed by and construed in accordance with the governing law and jurisdiction specified in the Binance Terms of Use. Any disputes arising out of or in connection with this Agreement shall be resolved as outlined in the Binance Terms of Use.
16. GOVERNING LAW AND JURISDICTION
16.1. By participating in the Binance Wealth Program, proceeding, or acknowledging your acceptance of these Agreement terms and conditions (as determined by Binance, including actions such as clicking “Agree,” “Accept,” or similar), the Wealth Manager: a) confirms its acceptance of all the terms and conditions of the Binance Wealth Manager Agreement as contained herein; b) agrees to be bound by and fully responsible for all acts performed by you (or on your behalf) and its Clients while participating in the Binance Wealth Program; c) confirms it has all the necessary authority to undertake this act; d) acknowledges and declares that it is fully aware of and agrees with the commissions and commercial conditions contained in this Agreement; e) acknowledges and declares that it is fully aware and agrees with the provisions of Schedule A which contains data protection obligations.
1.1 This Binance Wealth terms and conditions (“Binance Wealth Terms”) constitute a legally binding agreement between you (“you” or “your”) and Binance (“Binance”, “we”, “our” or “us”). You hereby acknowledge and agree that you will be bound by and will comply with this Binance Wealth Terms, the Binance Terms of Use (“Terms of Use”) and the Binance Futures Services Agreement (“Futures Services Agreement") (where such services are available in your region) (collectively, the “Terms”). If you do not understand and accept the Terms in its entirety, you should cease using Binance Wealth.
1.2 Any terms and references used in this Binance Wealth Terms which are not defined herein, shall have the same meaning and construction in the Terms of Use or the Futures Services Agreement.
1.3 The services and benefits made available to you by us under this Binance Wealth Terms are considered part of the Binance Services.
1.4 Binance reserves the right in its sole discretion to amend or cancel this Binance Wealth Terms at any time and for any reason without prior notice.

Binance Wealth Manager Agreement
By proceeding, you agree to the terms and conditions of this Binance Wealth Manager Agreement (the “Agreement”), effective as of the date you proceed through the Platform (the “Effective Date”), between the Wealth Manager, whose details are as per the information inserted on the Platform (hereinafter referred to as “you” or the “Wealth Manager” ), and NEST SERVICES LIMITED, a company incorporated under the laws of Seychelles, registration number: 238045 and having its registered office at House of Francis, Room 303, IIe Du Port, Mahe, Seychelles (“Binance”). The Wealth Manager and Binance shall hereafter be referred to individually as a “Party” and collectively as the “Parties”.
WHEREAS, Binance presently owns and operates the program (“Binance Wealth Program”) pursuant to which Binance provides interested companies/individuals with a technological solution to facilitate the non-discretionary management of crypto investments by its Clients via the Platform, through the creation of a Master Account to the interested company/individual and SubAccounts to be available to the Clients;
WHEREAS, the Wealth Manager wishes to participate in the Binance Wealth Program to enable its Clients to carry out crypto-assets deposits and trading activities on the Platform and Binance agrees to grant the Wealth Manager access to the Platform.
NOW, THEREFORE, in consideration of the foregoing and the mutual agreements contained herein, as well as other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, and intended to be legally binding, the Parties hereby agree as follows:
1. DEFINITIONS AND INTERPRETATION
1.1 Definitions: In this Agreement, unless the subject or context otherwise requires, the following words and expressions shall have the following meanings respectively ascribed to them:
“Affiliates” means, in respect of a Party, any entity that directly or indirectly Controls, is Controlled by, or is under common Control with, that Party from time to time.
“Applicable Laws” means any and all federal, state, local and foreign statutes, laws, regulations, treaties, ordinances, rules, regulatory guidance, judgments, directives, orders, decrees and determinations of (or agreements with), and mandatory written direction from (or agreements with), a governing body, authority, or any league and/or competition applicable to this Agreement as amended and in force from time to time, issued by any authority, which may have effect on the Parties and/or on this Agreement.
","wp-align-des13":"h) in respect of each discretionary set-up, is fully authorized to bind each Client and to act on behalf of each Client in all matters related to the transactions, and all transactions comply in all respects with any and all applicable investment restrictions and strategies agreed upon with each of its Clients from time to time.
The Wealth Manager hereby undertakes that:
a) it will comply in all material respects with all applicable laws and orders to which it may be subject if failure to comply would materially impair its ability to perform its obligations to its Client or to Binance under this Agreement or the Binance Wealth Terms and Conditions; b) it will use all reasonable efforts to maintain in full force and effect all consents of any governmental or other authority that are required to be obtained with respect to its services to its Client or its access to and use of the Binance Wealth technological solution, and it will use all reasonable efforts to obtain any that may become necessary in the future; c) in respect of a discretionary set-up, it will only execute transactions where the balances in the relevant Sub Account are sufficient (including, without limitation, to meet any applicable initial margin requirements); d) it will not take any action that renders or could render any of the representations and warranties given under this Agreement untrue, incorrect, or incomplete, and if it becomes aware of any event or the occurrence of any condition that could render any such representation untrue, incorrect, or incomplete, it will promptly give written notice thereof to Binance; e) in respect of a discretionary set-up, it will promptly upon reasonable demand by Binance provide (i) evidence of its due authorization by each Client and/or (ii) a written description in reasonable detail of the measures taken to comply with laws applicable to it and its relationship with its Client. The Wealth Manager hereby represents and warrants that all such information that is furnished in writing by it or on its behalf to Binance is, as of the date of the information, true, accurate, and complete in every material respect.
7.2 DISCLAIMERS. THE PLATFORM AND ANYTHING PROVIDED BY BINANCE IN CONNECTION WITH THIS AGREEMENT IS PROVIDED "AS-IS," WITHOUT ANY WARRANTIES OF ANY KIND. BINANCE (AND ITS AGENTS, AFFILIATES, AND SUPPLIERS) HEREBY DISCLAIM ALL WARRANTIES RELATING TO THE PLATFORM EXPRESS OR IMPLIED, INCLUDING, WITHOUT LIMITATION, (I) ANY WARRANTY AS TO THE AVAILABILITY OR UPTIME OF THE PLATFORM; AND (II) ALL IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT OF THIRD PARTY PROPRIETARY RIGHTS OR THAT THEY ARE FREE OF ERRORS OR ANY COMPUTER VIRUS OR MALWARE OR OTHER MALICIOUS, DESTRUCTIVE OR CORRUPTING CODE, AGENT, PROGRAM OR MACROS, UNLESS DISCLAIMING SUCH WARRANTIES IS PROHIBITED BY LAW. NOTHING IN THIS AGREEMENT SHALL CONSTITUTE ANY REPRESENTATION OR WARRANTY BY BINANCE, OR THE EXERCISE BY THE WEALTH MANAGER OF RIGHTS GRANTED UNDER THIS AGREEMENT WILL NOT INFRINGE THE RIGHTS OF ANY PERSON.
7.2.1 Binance does not provide any form of investment advice or specific product recommendations. Binance offers Binance Wealth Program as a purely technological solution to meet the needs of the Wealth Manager and its Clients. Binance is not a party to any contract entered into between the Wealth Manager and Client and does not make any representations, warranties or guarantees regarding the fitness and propriety of either party. Binance does not act as a fiduciary for or on behalf of the Wealth Manager nor any Client.
7.2.2 Binance does not represent, warrant, or guarantee any performance or results. Binance is neither involved in nor responsible for any recommendations or the creation of orders in respect of trades and subscriptions made by the Wealth Manager. The Wealth Manager is solely responsible for all investment decisions made, and Binance bears no liability for any potential losses incurred. The Wealth Manager should only invest in or purchase products where it is fully aware of the potential risks. Prior to any investment, it is crucial that the Wealth Manager conducts extensive due diligence and thoroughly assesses its and its Clients individual financial situation, investment objectives, and risk tolerance.
7.3 Although Binance shall use reasonable endeavours to ensure that the Platform cannot be accessed by unauthorised third parties, Binance does not warrant the security or confidentiality of any information transmitted through any electronic means including internet service provider, network system or such other equivalent system in any jurisdiction via the Platform.

2.5 Binance reserves the right to amend, change, add new or remove existing features of Binance Wealth, including but not limited to the functionality of the Master Account and Sub Accounts at any time, at our sole and absolute discretion.3. Fees
3.1 Please refer to paragraph 6 of the Terms of Use.
4. Indemnity
4.1 You shall further indemnify, keep indemnified and hold harmless Binance for any and all expenses, costs and legal fees (on a full indemnity basis) incurred, including but not limited to expenses, costs and legal fees incurred for producing records, and information, or payment made (whether such payment is or was or is to be made in settlement of any proceedings or in connection with any ruling, judgment, order or award) by any of them in connection with any investigations or proceedings (whether legal, regulatory, arbitration or other proceedings) brought against it in connection with (i) the performance or non-performance of your responsibilities or obligations under this Binance Wealth Terms, (ii) your breach or violation of this Binance Wealth Terms, (iii) your violation of any rights (including, but not limited to, intellectual property rights) of any other person or entity or (iv) any act or omission of yours that is negligent, unlawful, or constitutes willful misconduct. You shall provide any and all reasonable assistance to Binance in connection with such investigations or proceedings. Binance reserves the right to exercise sole control over the defense, at your expense, of any claim subject to indemnification under this clause. This indemnity is in addition to, and not in lieu of, any other indemnities set forth in agreements between you and Binance.
5. Exclusion
5.1 You hereby agree that, to the extent permitted by Applicable Laws, Binance shall not be liable to you for any indirect, incidental, consequential, special, punitive or exemplary loss or damage, including but not limited to loss of profits, loss of business, loss of goodwill or reputation, and loss of data, arising out of or in connection with this Binance Wealth Terms, regardless of the cause of action or the theory of liability, even if notified of the likelihood of such damages.
","wp-tnc-des1":"2. Binance Wealth and Eligibility
2.1 Binance Wealth provides wealth managers (“Wealth Managers”) and their clients (“Clients”) with a technological solution to facilitate the non-discretionary management of crypto investments. Subject to paragraphs 2.2 and 2.3, Wealth Managers will first need to open a master account (“Master Account”) before they are able to open sub accounts (“Sub Accounts”) for their Clients. The following are the main account functionalities of Binance Wealth:
(i) Master Account:
(a) The Wealth Manager may make deposits on behalf of the Client via the Master Account.
(b) The Wealth Manager may recommend trades and subscriptions to the Client via the Master Account. However, such recommendations will need to be approved by the Client via the respective Sub Accounts before being processed.
(c) The Wealth Manager is prohibited from using the Master Account to perform trades and subscriptions on their own account.
(ii) Sub Account:
(a) The Client may make deposits and withdrawals via the Sub Account.
(b) The Client may approve and complete trades and subscriptions recommended by the Wealth Manager via the Sub Account.
(c) The Client may also directly perform their own trades and subscriptions via the Sub Account.
2.2 To be eligible to use Binance Wealth, both Wealth Managers and Clients must successfully complete our KYC (know your customer) / KYB (know your business) process, including but not limited to all account registration requirements and entity verification checks (as may be required by us) to our sole and absolute satisfaction, such as personal or entity verification (as may be applicable), enabling 2FA and meeting any other requirements that may be imposed by us from time to time.
2.3 As a Wealth Manager, you hereby represent and warrant to us, at all times that you:
(i) hold all consents, permissions, authorisations, approvals and agreements of third parties and all authorisations, approvals, permissions, consents, registrations, declarations, filings with any Regulatory Authority, governmental department, commission, agency or other organisation having jurisdiction over you which are necessary or desirable for you to obtain in order to perform all services provided to the Client under Binance Wealth.
(ii) are solely and fully responsible for any recommendations you have made to Clients and will indemnify us in accordance with paragraph 4.1 below for any claims brought against us by Clients.
(iii) will not undertake any transactions on your own account that is directly opposed to or detrimental to your Client, including, without limitation, pump and dump schemes, wash trading, self-trading, front running, quote stuffing, and spoofing or layering regardless of whether prohibited by Applicable Law.

The Wealth Manager acknowledges and agrees that it shall not publish Binance’s name, logo, trademark, service mark, tagline, trade names (“Binance Marks”) artwork, text, whether on the Wealth Manager’s site, on promotional materials, without Binance’s prior written consent in each case. Specifically, the Wealth Manager shall not publicize or make reference to its users or the fact that this Agreement exists without first obtaining Binance’s prior written consent. The Wealth Manager is not permitted in any way to promote Binance’s brand without Binance’s prior written consent.
13.3. The Wealth Manager acknowledges and agrees that:
a) the Binance Marks are the property of Binance and that they are valid and will not do anything inconsistent with Binance’s ownership of, or right in, the Binance Marks; b) all use of the Binance Marks by the Wealth Manager pursuant to this Agreement will inure to the benefit of, and be on behalf of, Binance; c) it has no claim to any Binance Marks, except as explicitly set out in this Agreement; d) it shall not, under any circumstances, seek to register any trademark, business name, Wealth Manager name or domain name using or incorporating any Binance Marks; and e) upon conclusion of the Term or earlier termination of this Agreement, it shall have no further rights whatsoever in connection with the Binance Marks.
13.4. Publicity. The Wealth Manager shall not publicise (including by making press statements or by issuing press releases) or release any information in relation to or about this Agreement except with Binance’s prior written consent.
14. MISCELLANEOUS
14.1. Notices. A notice given to a Party under or in connection with this Agreement shall be in writing and sent to the Party at the address stated at the top of this Agreement, or email address below, or as otherwise notified in writing to other Party.
If to Binance: legal@binance.com; and the email address of your key account manager.
If to the Wealth Manager: to the email address of the Binance Wealth Master Account.
14.1.1. Any notice served under this Agreement shall be deemed to have been received:
a) if delivered by hand, immediately; b) if given by registered mail, the third (3rd) Business Day following posting; or c) if given by express courier service, the third (3rd) Business Day following dispatch; and d) if given by email, upon arrival of the complete and uncorrupted email message on the recipient’s server or email service.
","wp-align-des8":"4. COMMISSIONS AND PAYMENT
4.1. Subject to clause 4.2 and provided that the payments are permitted by Applicable laws, Binance will pay the Wealth Manager commissions for each trade or subscription made by or on behalf of the Clients through the Binance Wealth Program as follows: Spot: 50%, Futures: 30%, Earn: 30%, Algo order fee: 50% (of the respective fees actually paid by or on behalf of the Clients to Binance in respect of the Binance Wealth Sub Accounts).
4.2. Binance may at any time, by notifying the Wealth Manager (whether via publishing the information online or otherwise), adjust the structure of the Commissions payable under this Agreement and/or amend its amount and/or frequency and the Wealth Manager agrees to be bound by any such amendments.
4.3. All Commissions payable by Binance under this Agreement shall be in the relevant Digital Asset(s) referenced as the applicable underlying Digital Asset in the transaction(s) to which such amounts relate, unless otherwise specified by Binance.
4.4. The Wealth Manager shall abide by all Applicable Laws and regulations and Sanctions relevant to the provision of the services under the Agreement, including any laws or regulations in connection with the payment of taxation such as withholding tax, tax collection, reporting, and remittance to their appropriate tax authorities.
4.5. Binance shall not be responsible for payment of any tax levies which may arise in any jurisdiction.
4.6. The Wealth Manager acknowledges and agrees that the Commissions payable in connection with this Agreement shall be for the sole benefit and account of the Wealth Manager and should not be passed on as a benefit, rebate or incentive to any underlying Client of the Wealth Manager.
","wp-align-des17":"b) where such disclosure is required by any law/law enforcement, court order or competent regulatory authority, provided, that Receiving Party promptly notifies Disclosing Party in writing of any such requirement so that Disclosing Party may seek an appropriate protective order or other appropriate remedy or waive compliance with the provisions of this Agreement. Receiving Party will reasonably cooperate with Disclosing Party so that it can seek a protective order or other appropriate remedy or limitation, and Disclosing Party will reimburse all reasonable costs (including reasonable attorneys’ fees and expenses) incurred by Receiving Party in connection with a written request for specified assistance and cooperation by Disclosing Party.
11. AUDIT
11.1. Binance shall have the right, during regular working hours and at its own cost, upon prior notice to inspect the Wealth Manager’s facilities, books and records and all other documents and material in the possession of or under the control of the Wealth Manager with respect to the subject matter of this Agreement. Binance shall have free and full access thereto for such purposes and shall be permitted to make copies thereof and extracts therefrom. All books and records relative to the Wealth Manager’s obligations hereunder shall be maintained and kept accessible and available to Binance for inspection for at least three (3) years after termination of this Agreement.
11.2. In the event that such inspection reveals any breach by the Wealth Manager of this Agreement, the Wealth Manager shall immediately cure such breach and shall also reimburse Binance for the cost of such inspection including any legal fees incurred in connection therewith. If the Wealth Manager fails to cure such breach to the reasonable satisfaction of Binance within thirty (30) days of the notice from Binance, Binance shall be entitled to seek equitable relief, without prejudice to any other remedies to which Binance may be entitled under this Agreement, at law or in equity.
12. INTELLECTUAL PROPERTY RIGHTS
12.1. The Wealth Manager acknowledges that, as between the Parties, Binance owns and has all Intellectual Property Rights in and to the Binance Technology, the source materials and derivatives (whether or not created by or for Binance or the Wealth Manager) and all patent rights, copyrights, trademark rights, trade secret rights, mask work rights, sui generis database rights, moral rights, and any other Intellectual Property Rights and similar rights anywhere in the world covering, embodied in or relating to any part thereof throughout the world (collectively, “Derivatives IP”), except derivatives developed by the Wealth Manager with Binance’s prior written consents on a case-by-case basis.

Data Protection
This data privacy annex (“Data Privacy Annex”) is subject to the terms and conditions of the Binance Wealth Manager Agreement. The Wealth Manager’s failure to comply with any of the provisions of this Data Privacy Annex shall be deemed a material breach of the Binance Wealth Manager Agreement.
1. DEFINITIONS
“Data Controller” means the entity which, alone or jointly with others, determines the purposes and the means of the Processing of Personal Data.
“Data Privacy Laws” means all applicable laws, regulations and regulatory guidance in relation to the Processing or protection of Personal Data, as amended from time-to-time, including but not limited to, Regulation (EU) 2016/679 of 27 April 2016, General Data Protection Regulation (“GDPR”).
"Personal Data" means any information relating to an identified or identifiable natural person (or, to the extent that Data Privacy Laws apply to information about legal persons, an identified or identifiable legal person) or as otherwise defined in Data Privacy Laws.
“Process” means any operation, or set of operations, which is performed upon Personal Data, whether or not by automatic means, such as collection, recording, organisation, storage, adaptation or alteration, access to, retrieval, consultation, use, disclosure by transmission, dissemination or otherwise making available, alignment or combination, blocking, erasure or destruction. "Processes" and “Processing” shall be construed accordingly. Processing includes sub-Processing.
2. ROLES OF THE PARTIES
Binance and the Wealth Manager are each a separate and independent Data Controller of Personal Data Processed in the context of the Binance Wealth Program.

THE TOTAL LIABILITY OF BINANCE, WHETHER BASED ON CONTRACT, TORT (INCLUDING NEGLIGENCE OR STRICT LIABILITY), OR OTHERWISE, WILL NOT EXCEED, IN THE AGGREGATE, FIFTY THOUSAND U.S. DOLLARS (USD 50,000). THE FOREGOING LIMITATIONS WILL APPLY NOTWITHSTANDING ANY FAILURE OF ESSENTIAL PURPOSE OF ANY LIMITED REMEDY.
10. CONFIDENTIAL INFORMATION
10.1. Each Party shall hold in confidence all Confidential Information of the other Party. Neither Party shall disclose to any third party any Confidential Information in relation to the other Party save as expressly set out in Clauses 10.2 and 10.3 and or with the prior express written permission of the other Party.
10.2. The provisions of Clause 10.1 shall not apply to any information which: (a) is or becomes public knowledge other than by breach of this Clause 10; (b) is already in the possession of a Party without restriction in relation to disclosure before the date of its receipt from the other Party or the other members of its group of companies; or (c) is received from a third party (who, for the avoidance of doubt, is not an Affiliate of the receiving Party) who lawfully acquired or developed it and who is under no obligation restricting its disclosure.
10.3. A Party may disclose Confidential Information in relation to the other Party:
a) to those of its officers, employees, professional advisers, Affiliates, agents or sub-contractors as may be reasonably necessary for the purpose of fulfilling its obligations under this Agreement or, in the case of professional advisors, for use in their professional capacity, provided that before any such disclosure that party shall make such officers, employees, professional advisers, Affiliates, or agents or sub-contractors aware of its obligations of confidentiality under this Agreement and shall at all times procure compliance by those persons with them; ","wp-commission-asset":"Commission Asset","wp-align-des24":"For the avoidance of doubt, in the context of the services the Wealth Manager offers to its Clients pursuant to the Binance Wealth Program, the Wealth Manager is acting as an independent Data Controller. In the context of the onboarding and the maintenance of the Client as a Binance customer, Binance is acting as a separate and independent Data Controller.
3. OBLIGATIONS OF THE WEALTH MANAGER
In relation to the Processing of Personal Data in the context of the Binance Wealth Program, the Wealth Manager agrees that it:
a) complies with Data Privacy Laws in respect of Processing of Personal Data. b) relies on a valid legal ground under Data Privacy Laws for each purpose of its personal data processing activities, including obtaining Data Subjects’ appropriate consent if required or appropriate under Data Privacy Laws for data sharing with Binance; c) provides appropriate notice to the Data Subjects regarding: (i) the Processing of Personal Data for the purpose of providing the Services; and (ii) the existence of cross-border data sharing arrangements with Binance, where relevant; d) takes reasonable steps to ensure that Personal Data is accurate, complete and current; adequate, relevant and limited to what is necessary in relation to the purposes for which they are processed; and kept in a form which permits identification of Data Subjects for no longer than is necessary for the purposes for which the Personal Data are processed unless a longer retention is required or allowed under Applicable Laws; e) implements appropriate technical and organisational measures to ensure, and to be able to demonstrate, that the Processing of Personal Data is performed in accordance with Data Privacy Laws, including, as appropriate, appointing a data protection officer, maintaining records of Processing, complying with the principles of data protection by design and by default and, where required, performing data protection impact assessments and conducting prior consultations with supervisory authorities; f) responds to Data Subject requests to exercise their rights of: (i) access; (ii) rectification; (iii) erasure; (iv) data portability; (v) restriction of Processing of Personal Data; and (vi) objection to the Processing of Personal Data in accordance with Data Privacy Laws; g) cooperates with Binance to fulfil its respective data protection compliance obligations in accordance with Data Privacy Laws; and h) ensures that all Wealth Manager staff are appropriately trained in line with their responsibilities under Data Privacy Laws.
4. OBLIGATIONS OF BINANCE
Binance agrees that it will:
","wp-align-des20":"14.1.2. This clause does not apply to the service of any proceedings or other documents in any legal action or, where applicable, any arbitration or other method of dispute resolution.
14.2. Relationship. The Parties are and shall remain independent contractors without the power to bind, contract or commit the other Party, and will represent themselves to any third parties only as such. Nothing in this Agreement shall be construed as creating, expressly or by implication, a partnership, joint venture or establishing a relationship of principal and agent between the Parties (except as may be expressly provided or contemplated herein), and each Party agrees that it shall not be authorised to represent, make any commitment or bind the other Party in respect of any third parties.
14.3. Assignment. This Agreement will be binding on and will inure to the benefit of the legal representatives, successors and assigns of the Parties. Neither Party may assign any of its rights or obligations under this Agreement without the prior written consent of the other Party, which consent shall not be unreasonably withheld or delayed, save that Binance may at any time upon notice to the Wealth Manager assign any rights or obligations under this Agreement to any of its Affiliates. Any assignment or transfer which does not comply with this Clause will be void and of no force or effect.
14.4. Entire Agreement. Subject to clause 14.6 below, this Agreement constitutes the entire agreement between the Parties in respect of its subject matter and supersedes all previous negotiations, agreements and commitments with respect thereto. Each Party acknowledges and agrees that in entering into this Agreement it has not relied on any representation made by the other Party or any arrangement, understanding or agreement (whether written or oral) with the other Party that is not expressly set out or referred to in this Agreement.
14.5. Feedback. The Wealth Manager grants Binance a non-exclusive, royalty-free, worldwide, irrevocable, and transferable license to use any Wealth Manager Feedback. Binance may use, profit from, disclose, publish, or otherwise exploit this feedback without compensating or crediting the Wealth Manager. All feedback is provided "AS IS" without warranty or indemnity and is considered Confidential Information of Binance.

7. Technology Disclaimers
7.1 Binance may, from time to time, suspend access to Binance Wealth for both scheduled and emergency maintenance. Binance endeavors to process transactions on the Platform in a timely manner, however, Binance makes no representations or guarantees pertaining to the completion time of processing, which resides beyond our control.
7.2 As a result of network delay, computer system failures and other force majeure, there may be a delay, suspension or deviation of Binance Wealth. We will use commercially reasonable efforts, but make no representations or guarantees, that Binance Wealth will run stably and effectively at all times. We do not bear any responsibility if the final execution does not match your expectations as a result of the abovementioned factors.
8. Miscellaneous
8.1 In the event of any conflict or discrepancy between any translated versions of this Binance Wealth Terms, the English language version shall prevail.
8.2 The Terms of Use in their entirety (including but not limited to the provisions in respect of dispute resolution procedures, governing law, binding arbitration and the forum and rules of such arbitration, class action waivers and related matters) are incorporated by reference into this Binance Wealth Terms. Accordingly, all rights and protections afforded to us under the Terms of Use shall equally apply and be additional to the rights and protections afforded to us under this Binance Wealth Terms.","wp-align-des11":"6.6. The Wealth Manager shall not permit access to the Platform by or on behalf of any Client located in any Sanctioned Countries, in a location where the Binance Wealth Program is prohibited or not available or any other jurisdiction in which Binance does not operate, as identified by Binance from time to time, or pursuant to the terms of the Binance Wealth Terms and Conditions, available at https://www.binance.com/en/about-legal/wealth-program-terms in the Binance Terms of Use, available at https://www.binance.com/en/terms or in the Binance Futures Services Agreement, available at https://www.binance.com/en/binance-futures-services-agreement.
6.7. At any time upon request of Binance, (a) the Wealth Manager or other official acceptable to Binance shall certify to Binance that the Wealth Manager is, and has been since the Wealth Manager’s last such certification, in full compliance with its obligations under this Clause 6, and (b) the Wealth Manager shall provide evidence of such compliance as may reasonably be requested by Binance.
","wp-align-des3":"“Digital Asset” means a digital representation of value that may be digitally traded, transferred, or used as an exchange or payment tool, or for investment purposes.
“Disclosing Party” means the party disclosing Confidential Information to the other party, including any Affiliate of such other party.
“Documentation” means all printed and online user manuals and other technical materials relating to the Binance Wealth Program made available to the Wealth Manager by Binance, as may be updated from time to time.
“Intellectual Property Rights” means patents, utility models, rights to inventions, copyright and neighbouring and related rights, trademarks and service marks, business names and domain names, rights in get-up and trade dress, goodwill and the right to sue for passing off or unfair competition, rights in designs, rights in computer software, database rights, rights to use, and protect the confidentiality of, confidential information (including know-how and trade secrets), and all other intellectual property rights, in each case whether registered or unregistered and including all applications and rights to apply for and be granted, renewals or extensions of, and rights to claim priority from, such rights and all similar or equivalent rights or forms of protection which subsist or will subsist now or in the future in any part of the world.
“Loss” means any claim, demand, action, proceeding, damage, liability, cost or expense.
“Platform” means (a) the online portal owned and operated by Binance and/or its Affiliates to make the accounts available,(b) any platform owned and operated by Binance and/or any of its Affiliate to allow the trading of crypto assets; and (c) any technological solution, services, systems, features and functions made available through such online portal, in each case for the purpose of the Binance Wealth Program.
“Receiving Party” means the party receiving Confidential Information from the other party, including any Affiliate of such other party.
“Sanctioned Country” means a country, territory or region which is, or whose government is, the subject of Sanctions.
“Sanctions” means any economic or financial sanctions or trade embargoes imposed, administered or enforced from time to time by any Sanctions Authority.

SECURITY OF PROCESSING, CONFIDENTIALITY AND PERSONAL DATA BREACH
a) The Parties must implement and maintain a comprehensive written information security program with appropriate technical and organisational measures to ensure a level of security appropriate to the risk. b) The Parties must take steps to ensure that any person acting under their authority who has access to Personal Data is subject to a duly enforceable contractual or statutory confidentiality obligation. c) The Parties must notify a Personal Data Breach that relates to Personal Data Processed in the context of the Services to the other Party, without undue delay, and no later than 48 hours after having become aware of a Personal Data Breach. Each Party will provide reasonable assistance to the other for compliance by that Party with its obligations under Data Privacy Laws to notify a Personal Data Breach. d) The Parties must document all Personal Data Breaches, including the facts relating to the Personal Data Breach, its effects and the remedial actions taken.
LIABILITY TOWARDS DATA SUBJECTS
Subject to the liability clauses in the Agreement, the Wealth Manager agrees that it will be held liable for violations of Data Privacy Laws and this Data Privacy Annex and for violations towards Data Subjects under Data Privacy Laws.
","wp-align-des10":"6. COMPLIANCE WITH APPLICABLE LAWS, AML/CFT LAWS
6.1. The Wealth Manager shall, in using the Platform comply with (i) all applicable obligations under Applicable Laws, and (ii) any agreement entered into with Binance and/or any Binance Affiliate.
6.2. The Wealth Manager shall not cause Binance to breach its obligations under any Applicable Law or to any regulatory authority. To Binance’s reasonable satisfaction, the Wealth Manager shall provide all support and information in connection with the use of the Platform that is reasonably required for Binance to meet all of its obligations under any Applicable Laws or to any regulatory authority.
6.3. The Wealth Manager acknowledges that Binance is committed to meeting applicable international standards regarding the prevention of money laundering and terrorist financing and compliance with applicable sanctions regimes (“AML Laws”).
6.4. The Wealth Manager shall comply with all laws and regulations applicable to its use of the Platform and the provision of its services to Clients including, but without limitation to AML Laws. The Wealth Manager agrees that it is solely responsible for complying with AML Laws in connection with any Client.
6.5. Without limitation of the foregoing, the Wealth Manager represents, warrants and covenants that it shall have in place and implement at all times during the Term of this Agreement, regardless of any other conditions stipulated herein: (a) an anti-money laundering and countering the financing of terrorism program consistent with the recommendations for financial institutions contained in the then-current version of the Financial Action Task Force “International Standards on Combating Money Laundering and the Financing of Terrorism and Proliferation,” (b) a “Know Your Client” program, including Client identity verification, Client due diligence, and risk-based enhanced due diligence policies and procedures sufficient to allow the Wealth Manager to form a reasonable belief that it knows the identity, nationality and residence of its Clients, including beneficial owners for legal entity Clients, and, as appropriate, the nature and purpose of such Client’s trading activities and source of funds (“Client Due Diligence”), and (c) monitoring systems to identify and report suspicious activity (“Transaction Monitoring”).
6.5.1. Where required under Applicable Laws, the Wealth Manager must provide all relevant information it has obtained on the Clients, as part of its Client Due Diligence and Transaction Monitoring processes. The Wealth Manager shall also promptly notify Binance of any suspicious activity involving the Platform of which it becomes aware.
","wp-align-des7":"h) in any way which may infringe any third party’s Intellectual Property Rights or which promotes any unlawful act; nor i) in any way that may cause Binance or its Affiliates to breach its obligations under any Applicable Law or any applicable Sanctions or as owed to any regulatory authority.
3.6. The Wealth Manager hereby grants to Binance a royalty-free, perpetual, irrevocable, non-exclusive, sub-licensable and transferable license to use, reproduce, modify, publish, edit, translate, distribute, perform and display any content, data or material that the Wealth Manager provides to Binance through the Platform, including end-user content or material and any data or analytics generated from the same.
3.7. The Wealth Manager shall implement appropriate technical and organizational measures to protect its Clients’ data against unauthorized or unlawful processing, as well as against loss, destruction, damage, alteration, or disclosure, whether accidental or not. These measures shall be appropriate to the potential harm that might result from any unauthorized or unlawful processing, accidental loss, destruction, or damage to its Clients’ data, taking into account the nature of the data to be protected.
3.8. The hours of operation of the Platform are subject to change without prior notice. Nothing herein shall be considered or be deemed as a warranty by Binance that the Platform will be available (whether uninterrupted or available at all) during any specific times.
3.9. Notwithstanding any representation to the contrary, Binance shall at any time, in its sole and absolute discretion, with or without prior notice, be entitled to temporarily suspend the operations of the Platform for updating, maintenance and upgrading purposes or any other purposes whatsoever that Binance deems fit, and in such event, Binance shall not be liable to anyone (including, without limitation, any Clients).
3.10. Binance reserves the right to:
a) monitor, screen or otherwise control any activity or services; b) investigate any violation of the terms of this Agreement and take any action it deems appropriate; c) prevent or restrict the Wealth Manager’s or its Clients’ access to the Platform; and/or d) report any activity it suspects to be in violation of any applicable law, statute or regulation to the appropriate authorities and to cooperate with such authorities.
","wp-align-des4":"“Sanctions Authority” means any competent sanctions authority, including, but not limited to the United Kingdom, Canada, European Union, any European Union member state, United Nations and its Security Council, and the US government, together with any government entity of any such sanctions authorities, such as the US Department of State, the Office of Foreign Assets Control and His Majesty’s Treasury.
“Transaction Monitoring” shall have the meaning in Clause 6.5.
“Wealth Manager Feedback” means suggestions, enhancement requests, recommendations, or other feedback provided by the Wealth Manager or its Authorized Users relating to the operation or functionality of the Platform.
1.2 Unless the contrary intention appears:
(a) a reference to this Agreement or another instrument includes any variation or replacement of any of them; (b) a reference to a statute, ordinance, code or other law includes regulations and other instruments under it and consolidations, amendments, re-enactments or replacements of any of them; (c) the singular includes the plural and vice versa; (d) the word “person” includes an individual, a firm, a body corporate, a partnership, joint venture, an unincorporated body or association, or any government agency, and includes a reference to the person’s executors, administrators, successors, substitutes (including, without limitation, persons taking by novation) and assigns; (e) a reference to a day is to be interpreted as the period of time commencing at midnight and ending twenty-four (24) hours later; (f) except as otherwise stated, a reference to a time is a reference to Singapore time. (j) a reference to anything (including, without limitation, any amount) is a reference to the whole and each part of it and a reference to a group of persons is a reference to all of them collectively, to any two or more of them collectively and to each of them individually; (h) the words “including”, “include”, “for example” or “such as” are not used as, or to be interpreted as a word of limitation, and do not limit the meaning of the words to which the example relates to that example or example of a similar kind; (i) no rule of construction applies to the disadvantage of a Party because that Party was responsible for the preparation of this Agreement or any part of it; and (j) headings are inserted for convenience and do not affect the interpretation of this Agreement.
","wp-align-des14":"8. TERM AND TERMINATION
8.1. Term. This Agreement will remain in effect unless terminated by either Party with a thirty (30)-day prior written notice from the Wealth Manager to Binance, or with immediate effect by Binance upon written notice to the Wealth Manager. Termination may also occur pursuant to the terms of the clauses below (the “Term”).
8.1.1. Binance may provide such notice through any communication channel it considers most convenient, including but not limited to Telegram, email, WhatsApp message, Binance App, or any other means.
8.2. Termination. If either Party defaults in the performance of any provision of this Agreement, then the non-defaulting Party may give written notice to the defaulting Party requiring the default to be cured, and if the default is not cured within fourteen (14) days of the notice, this Agreement shall, without prejudice to any right to damages, automatically terminate at the end of the period.
8.2.1. Either Party shall also be entitled to immediately terminate this Agreement in the event of a relevant change in the Applicable Law or request by a competent authority which would materially affect the performance of any of the Parties’ obligations under this Agreement or result in either Party being unable to fulfill their obligations or benefit from their rights and entities under this Agreement and could not reasonably have been foreseen or provided against (e.g., government acts prohibiting or impending any Party from performing its respective obligations under this Agreement).
8.2.2. This Agreement shall automatically terminate, without notice, (i) upon the institution against the Wealth Manager of bankruptcy or liquidation proceedings or any other proceedings for the settlement of debts; or (ii) upon the Wealth Manager making an assignment for the benefit of his creditors; or (iii) if the Wealth Manager repeatedly breaches any of the terms of this Agreement in such a manner as to reasonably justify the opinion that its conduct is inconsistent with it having the intention or ability to give effect to the terms of this Agreement.
8.2.3. Binance may in its sole discretion give immediate notice to terminate in the following events: (i) any representation or warranty made by the Wealth Manager proves to have been incorrect; (ii) there are objective facts that reasonably suggest the Wealth Manager has failed to maintain the high standards expected of a professional in its field; (iii) Binance is of the opinion that the Wealth Manager is in conflict of interest in respect of its obligations to Binance hereunder; (iv) the Wealth Manager has committed any act which, in Binance’s view, adversely affects the Binance Wealth Program and/or the reputation of Binance; or (v) any other valid reason as reasonably determined by Binance.

The Parties agree and acknowledge to the extent applicable to them the terms of the Binance Wealth Terms and Conditions, Binance Terms of Use and Binance Futures Services Agreement (where such services are available in wealth manager’s region and its clients’ region) as the same may be amended by Binance from time to time and which are incorporated by reference to this Agreement. In the event of any conflict or inconsistency between the Binance Wealth Manager Agreement, the Binance Wealth Terms and Conditions, the Terms of Use, and the Futures Services Agreement, the Binance Wealth Manager Agreement shall prevail with respect to the services contemplated hereunder, unless expressly stated otherwise.
14.7. Force Majeure. Any delay in or failure by either Party in performance of this Agreement shall be excused if and to the extent such delay or failure is caused by occurrences beyond the control of the affected party including, but not limited to, decrees or restraints of government; acts of God, flood, drought, earthquake or other natural disaster; epidemic, pandemic or quarantine restrictions; collapse of buildings, fire, explosion or accident; interruption or failure of utility service; nuclear, chemical or biological contamination or sonic boom; any law or any action taken by a government or public authority, including without limitation imposing an export or import restriction, quota or prohibition, or failing to grant a necessary licence or consent; strikes, industrial action, labour disputes, work stoppage or other labour disturbances; and terrorist attack, civil war, civil commotion or riots, war, sabotage, threat of or preparation for war, armed conflict, imposition of sanctions, embargo, or break off of diplomatic relations (each being a “Force Majeure Event”). The affected Party will promptly notify the other Party upon becoming aware that any Force Majeure Event has occurred or is likely to occur and will use reasonable efforts to minimize any resulting delay in or interference with the performance of its obligations under this Agreement.
14.8. Third Party Rights. Nothing in this Agreement is intended to grant to any third party any right to enforce any terms of this Agreement or to confer on any third party any benefits under this Agreement.
14.9. Waiver. Failure or neglect by either Party to enforce at any time any of the provisions contained within this Agreement shall not be construed nor shall be deemed to be a waiver of its rights under this Agreement nor shall it in any way affect the validity of the whole or any part of this Agreement nor prejudice its rights to take subsequent action.
14.10. Severability. If any provision of this Agreement is held for any reason to be void, voidable or unenforceable this shall not affect the validity or the enforceability of any other provision of this Agreement or the remainder of this Agreement as a whole.

3.1. Subject to the terms and conditions of this Agreement, access to the (i) Platform, (ii) Binance Wealth Master Account, and/or (iii) Binance Wealth Sub-Accounts shall only be granted to the Wealth Manager and/or its Clients at Binance’s sole and absolute discretion.
3.2. The Wealth Manager shall be responsible for all activities conducted by the Authorized Users and/or its Clients on the Platform in respect of the Binance Wealth Sub Accounts and agrees that it shall:
a) keep its Binance Wealth Master Account information (including login details) confidential and secure, and not provide any other person with access to it; b) ensure that its Clients will keep its Binance Wealth Sub-Account Account information (including login details) confidential and secure, and not provide any other person with access to it; and c) promptly notify Binance if it becomes aware of or suspects any unauthorized access to or use of its Binance Wealth Master Account or any of its Clients’ Binance Wealth Sub-Accounts.
3.3. Without limiting its other rights and remedies, Binance reserves the right to block or deny access to, modify, suspend or terminate the Wealth Manager’s Binance Wealth Master Account or any of its Clients’ Binance Wealth Sub Accounts at any time at Binance’s sole and absolute discretion, without giving any reason or prior notice and Binance shall not be liable or responsible for any Loss arising out of the same.
3.4. Binance may also limit, cancel, suspend or make changes to the Platform in whole or in part at any time without prior notice or liability to the Wealth Manager.
3.5. The Wealth Manager shall not use the Platform and/or the Master Account and shall ensure that its Clients will not use the Platform and their Sub Accounts:
a) In connection with any act or omission which may constitute or contribute to any criminal offence under Applicable Laws or against public order or applicable ethical standards and codes; b) in any way which causes or is intended to cause annoyance, inconvenience or needless anxiety; c) for any unlawful purpose whatsoever, including fraud, money laundering or terrorism; d) in any way which is abusive, harmful, threatening or defamatory or any other way that may reasonably be expected to cause offence; e) in any way that could be harmful to other users of the products and services of Binance and its Affiliates or the systems or data of Binance and its Affiliates (including uploading any materials that otherwise contains a virus, malware or other malicious code or content); f) in any way which breaches or could potentially breach a legal duty to a third party (including a duty of confidentiality) or which infringes or could potentially infringe a person’s right to privacy; g) in any way which promotes discrimination or is likely to incite hatred; ","wp-sub-date":"Snapshot Date","wp-align-des18":"12.2. Any Derivatives IP (whether or not patentable or copyrightable) that either Party develops, except derivatives developed by the Wealth Manager with Binance’s prior written consents, shall be owned solely by Binance.
12.3. If the Wealth Manager acquires any rights in the Derivatives IP, except derivatives developed by the Wealth Manager with Binance’s prior written consents, by operation of law, or otherwise, the Wealth Manager shall assign and hereby irrevocably assigns such rights to Binance without further action by any of the parties. Nothing in this Agreement shall give the Wealth Manager any right, title, or interest in the Derivatives IP.
12.4. Binance shall have the sole right, solely in its own name, to apply for, prosecute and defend its Intellectual Property Rights with respect to the Derivatives IP, except derivatives developed by the Wealth Manager with Binance’s prior written consent. Binance expressly reserves all rights not expressly granted to the Wealth Manager under this Agreement. The Wealth Manager agrees to sign all documents and perform all other acts requested by Binance to evidence, perfect, obtain, maintain, defend and enforce the foregoing. The Wealth Manager hereby irrevocably designates and appoints Binance and its duly authorized officers and agents, as the Wealth Manager’s agents and attorneys-in-fact or lawyers to act for and on the Wealth Manager’s behalf and instead of the Wealth Manager, to execute and file any documents and to do all other lawfully permitted acts to further such purposes with the same legal force and effect as if executed by the Wealth Manager.
12.5. The Wealth Manager acknowledges and agrees that:
a) nothing contained on the Platform should be construed as granting, by implication or otherwise, any licence or right to use any Binance Marks displayed on the Platform without the written permission of Binance or such third party who owns the Binance Mark; b) the Wealth Manager shall not deal with any Binance Mark displayed on the Platform, or any other content on the Platform, contrary to the provisions of this Agreement.
13. NAMES AND LOGOS; PUBLICITY
13.1. Names and Logos. Notwithstanding anything to the contrary in this Agreement, any use of Binance’s trade name, logo, or trademarks, is not permitted except with Binance’s prior written consent for each instance of use and shall always be subject to Binance’s branding guidelines and any other guidelines that may be provided by Binance from time to time.

5.1. The Parties undertake that for the Client to be eligible to hold a Binance Wealth Sub Account, the Client must become a Binance customer and accepts all the applicable terms and conditions, including but not limited to the Binance Wealth Terms and Conditions, available at https://www.binance.com/en/about-legal/wealth-program-terms ,the Binance Terms of Use, available at https://www.binance.com/en/terms and the Binance Futures Services Agreement (where such services are available in the Client region), available at https://www.binance.com/en/binance-futures-services-agreement, all of them as updated and amended from time-to-time.
5.2. In this sense, the Wealth Manager will be responsible for identifying and contacting the Clients who intend to hold Sub Accounts, in order to obtain the minimum information required by Binance to conduct the necessary KYC/KYB checks in order to open Sub Accounts under the terms of this Agreement ("KYC/KYB Procedures").
5.3. Without prejudice to the other conditions set forth in this Agreement, the Wealth Manager undertakes to provide Binance with the Client data necessary for registration with Binance for the purposes of opening the Sub Accounts and to comply with the rules and procedures established by Binance for the purpose of obtaining such registration data from the Clients, including, but not limited to requesting additional documents and information from the Clients if Binance deems it necessary to comply with its policies. The Wealth Manager will be exclusively responsible for the accuracy and completeness of the data and for collecting and transmitting said data to Binance.
5.4. If Binance considers that the information and data provided by the Wealth Manager is insufficient in accordance with its policies, procedures and internal controls (including those regarding AML/CFT and KYC/KYB) and with the Applicable Laws, Binance is entitled to refuse to open the respective Sub Account.
5.5. The transferring of the Clients’ data in accordance with the terms of this Clause shall observe the terms of the Data Privacy Annex ("DPA") included in Schedule A hereto.
5.6. Under no circumstances shall Binance be held liable for any losses or damages experienced by the Wealth Manager or the Wealth Manager’s Clients in the event of a negative outcome from the KYC/KYB procedures. Binance disclaims all liability, whether direct or indirect, consequential or incidental, that arises from any unsuccessful KYC/KYB verification, regardless of whether such failure is due to the Client’s inability to provide satisfactory information or any other factors beyond Binance’s control.
5.7. Notwithstanding the foregoing, in any case, the Wealth Manager will be responsible for constantly informing Binance with regard to any updates on its Clients information.

2.1. The purpose of this Agreement is to regulate the rights and obligations of the Parties within the scope of the Wealth Manager’s participation in the Binance Wealth Program.
2.1.1. To be eligible for participation in the Binance Wealth Program, the Wealth Manager must first open a Binance Wealth Master Account and ensure that it has all the necessary licenses to operate in accordance with the terms of this Agreement. Once the Master Account is established, the Wealth Manager may request the creation of Binance Wealth Sub Accounts on behalf of its Clients.
2.1.2. Both the Wealth Manager and each of its Clients must successfully complete Binance’s KYC/KYB processes to participate in the Binance Wealth Program, in accordance with the terms of Clause 5 below.
2.2 The Wealth Manager shall act as a financial advisor to the Clients and will be entitled to recommend trades and subscriptions to them or, where applicable, create orders in respect of trades and subscriptions on their behalf. All such trades and subscriptions may be made either through the Wealth Manager’s Master Account or directly through the Client’s Sub Account. In the first case, the Wealth Manager agrees that if its account is set up as a non-discretionary account, none of these trades or subscriptions shall be completed without the express approval of the Client via their Sub Account.
The Wealth Manager acknowledges that the use of the Master Account is exclusively tied to the Binance Wealth Program. Consequently, the Master Account shall not be used by the Wealth Manager to conduct trades or subscriptions for the Wealth Manager’s own account.
2.2.1. Regardless of how the transaction or subscription is initiated (whether through the Wealth Manager’s Master Account or through the Client’s Sub Account), all withdrawals shall be made exclusively via the Client’s Sub Account. No withdrawals shall be processed through the Master Account nor any other account.

7.1. The Wealth Manager’s Representations and Warranties. The Wealth Manager represents, warrants and agrees that:
a) it will use the Platform without (i) infringing any rights of any third party or Binance, nor (ii) breaching any Applicable Laws or causing Binance or any Binance Affiliate to breach any Applicable Laws, nor (iii) breaching any agreement entered into with Binance and/or any Binance Affiliate; b) it is prohibited from using the Binance Master Account to perform trades and subscriptions for its own benefit. In the case of a non-discretionary Master Account setup, any trade and subscription recommendations made to its Clients must be pre-approved by the Clients via their respective Binance Wealth Sub Accounts before being processed. The Wealth Manager recognizes that for a non-discretionary Master Account setup, the final decision on whether to accept the recommendation and execute the transaction lies with the Client; c) it is solely and fully responsible for any recommendations, or for creating orders in respect of trades and subscriptions for its Clients, and will indemnify Binance in accordance with Clause 9 for any claims brought against Binance by its Clients; d) it will not undertake any transactions on its own account that is directly opposed to or detrimental to its Client, including, without limitation, pump and dump schemes, wash trading, self-trading, front running, quote stuffing, and spoofing or layering regardless of whether prohibited by Applicable Law; e) it complies with all requirements of applicable laws to which is subject with respect to the provision of the services to its Clients (including, without limitation, any applicable disclosure requirements), and will maintain any licenses, authorizations, or any other permissions from competent authorities in order to participate in Binance Wealth Program, provide the services to be offered to its Clients in connection with Binance Wealth Program, and more generally, provide the services in connection with this Agreement and meet its obligations under this Agreement. It The Wealth Manager undertakes to immediately notify Binance of any loss of such licenses, authorizations, or any other permissions; f) it will not be and ensure its Clients will not be located, incorporated, otherwise established in, or resident of, or have business operations in: (i) a jurisdiction where it would be illegal under Applicable Law for you or the Client to access of Binance Wealth Program or use the Binance services, or cause us or any third party to contravene any Applicable Law; (ii) a country listed in Binance our List of Prohibited Countries; g) it and its Clients are individuals, corporations, entities or other organization with the full power, authority and capacity to access and participate on the Binance Wealth Program, to use the Binance services offered through the Platform, in accordance with Binance Wealth Terms and Conditions and Binance Terms of Use and to adhere to the Binance Futures Services Agreement (where such services are available in the Wealth Manager’s region and its Clients’ region); and
